- Commercial Management – responsible for advising on the commercial and legal risks across a range of matters from project tenders to creation of operating entities in new territories.
- Contract Governance – providing direction on the execution of projects to ensure they are executed in accordance with the contractual terms and all relevant processes and procedures to ensure they meet Penspen’s objectives, strategic direction, and financial viability.
- Regulatory Compliance – continuously monitor compliance with statutory obligations and advise management accordingly, including monitoring of sanctions which may also affect the company group.
- Entity Management – ensure compliance with and be responsible for the formation and dissolution of entities or changes in entity structures at a country level.
- Compliance - work with internal stakeholders to develop and/or refine policies and procedures for relevant regulatory compliance requirements, including data privacy, competition law, anti-bribery and corruption, anti-money laundering, sanctions, human rights, human trafficking, anti-tax evasion and other similar requirements. Oversee the implementation of Group compliance policies and procedures through appropriate training and communication where necessary.
- Capability building - Implementing appropriate training programs to help embed compliance programs within the business and ensure a consistent level of understanding by colleagues around the world.
- Contract Review – ensure client and supplier contracts are well negotiated, robust and apportion risk appropriately, are well understood and in accordance with Penspen principles. Prepare, review and modify contractual instruments to assist and support various business activities in the required regions.
- Proposal Input – create innovative solutions to legal and commercial issues in bids and contracts. Liaise with Finance Department and the parent company, where applicable, for any necessary sureties.
- Policies and Procedures – ensure legal and commercial matters are appropriately considered and represented in any/ all business initiatives, working with, and managing outside counsel as necessary.
- Enterprise Risk Management - contribute to the management of enterprise risk through management of the Regional Risk Register, compliance activities, maintaining a commercial, regulatory and ethical balance and escalating key risk matters as appropriate.
- Due Diligence – ensure the relevant due diligence for suppliers, clients and other third parties is undertaken and any risk identified at an early stage.
- Dispute Resolution – ensure client, supplier and other disputes are managed effectively. Review progress of outstanding litigation and liaise with external lawyers where required.
- Stakeholder management – build strong working relationships up and down the organisation, with Regional Leadership Team peers and with client representatives to support commercial decision-making and client negotiation.
- Insurance – ensure the relevant contractual insurance requirements are fulfilled and assist as necessary with any other insurances and renewals.
